Establishment of a small partnership (MB)

A small partnership (MB) can be established electronically (online) or through a notary. Establishment electronically is faster and cheaper. Typically, establishment of a MB electronically takes up to 2 business days. Establishment of an MB electronically is possible if the founder(s) has a qualified electronic signature. Only natural persons can be founders of an MB. There can be no more than 10 founders of an MB. If an MB is established electronically, then the owner of the premises where the MB office will be registered must also sign a consent with a qualified electronic signature. If the premises where the MB office is to be registered are not the personal property of the founder, the consent to provide premises for the MB office must be signed with a qualified electronic signature by all existing owners (co-owners) of the premises. All documents are signed only with qualified electronic signatures.

When establishing a legal entity electronically, it is possible to select the objectives of the activity from the electronic activity classifier provided by the administrator of the Register of Legal Entities, which is prepared in accordance with the Classification of Types of Economic Activities (EVRK 2.1 revision). The Articles of Association of the MB will state that the MB may carry out any other activity that does not contradict the legal acts of the Republic of Lithuania.
